Overview

Provision of a loan of up to EUR 110 million to Nador West Med Betoya Industriel & Logistic Zone ("NWM BILZ" or the "Client"), a wholly owned subsidiary of Nador West Med S.A ("NWM").

The loan proceeds will be used to finance the development of a greenfield economic zone with Nador West Med complex, located near the city of Nador in the Oriental Region. Investments include: land development works for the industrial and logistics platforms, construction of a wastewater treatment plant, construction of a desalination plant, energy-efficient street lighting installation and installation of an electrical pole (the "Project").

The Bank's loan will be supplemented by an investment grant of EUR 5 million from EBRD Shareholder Special Fund ("SSF"), an investment grant of USD 3 million from the United Kingdom under the High Impact Partnership on Climate Action multi-donor fund ("HIPCA") and USD 2.5 million from the Global Environment Facility ("GEF") under the Financing Advanced Environmental Technologies in the Mediterranean Sea Region for Water Systems and Clean Coasts ("ENVITECC") Programme.

The Project is a follow-on to the Bank's existing project with the Client's parent company NWM. In 2015, the Bank approved a sovereign-guaranteed loan of EUR 200 million to NWM to finance the construction works of the port infrastructure). In 2022, the Bank approved an additional financing of EUR 100 million to NWM to close a financing gap (Nador West Med Port (ebrd.com))

Project description

Provision of a loan of up to EUR 110 million to Nador West Med Betoya Industriel & Logistic Zone ("NWM BILZ" or the "Client"), a wholly owned subsidiary of Nador West Med S.A ("NWM").

Project objectives

The Project is expected to attract foreign direct investment into the Region, enhance the competitiveness of its local enterprises, support the development of industrial ecosystems in the port's hinterland, and further private sector development. This will open up employment opportunities for the local population, contributing to reducing regional disparities and ensuring a resilient and inclusive territorial area.

The development of NWM economic zone will emphasize climate adaptation angles and green investment wherever possible. The focus will be on energy efficiency, such as energy/resource use efficiency, to set resilient, inclusive, and sustainable territorial development, which is one of the strategic pathways to achieve the overall growth ambition formulated by Morocco.

Primary Quality - Integrated. The Project will allow the NWM complex to fulfil its role in unlocking the full economic potential of the Oriental Region. As part of this objective, the project structure will include a dedicated Technical Cooperation ("TC") assignment to support the digitalization efforts of NWM.
Secondary Quality - Green. The Project will include the use of solutions for sustainable water management as well as energy-saving technologies for the zone's public lighting.

NADOR WEST MED BETOYA INDUSTRIEL AND AND LOGISTIC ZONE

Nador West Med Betoya Industriel & Logistic Zone, a state-owned limited liability company incorporated in the Kingdom of Morocco, was created in 2023 for the management and the development of the industrial, logistics and energy platforms in the Free Zone adjacent to Nador West Med port in the Oriental Region of the Kingdom of Morocco.

NWM BILZ is a wholly owned subsidiary of Societe Nador West Med S.A. ("NWM S.A"), an existing Client of the Bank under Nador West Med Port (DTM 47006). NWM S.A is a state-owned limited liability company incorporated in the Kingdom of Morocco, in charge of delivering the Nador West Med Port project as part of a wider development approach aiming to have a significant regional development impact in the Oriental Region of Morocco by attracting foreign investment.

Environmental & Social Summary

Categorised B (2019 ESP). The Environmental and Social ("E&S") risks associated with site clearance, general groundwork and road preparation for the first phase of development of the 600-ha free zone adjacent to Nador West Med Port (Category A, signed 29-10-2015) are readily identified and can be managed thorough the implementation of an Environmental and Social Action Plan ("ESAP"). Environmental and Social Due Diligence ("ESDD") consists of an external review of the E&S management system and capacity of the client and the cumulative impact assessment of the Port and the free zone, as well as a characterisation of the risks and corresponding mitigation arising from the desalinisation plant. ESDD is ongoing and the PSD will be updated when done.

Preliminarily results of the ESDD showed that the client, already known by the Bank, has a strong Environmental and Social Management System ("ESMS") in place and has the ability to structure the Project in line with EBRD Performance Requirements ("PRs"). NWM has inhouse E&S capacity in place, responsible for the Port and the Free zone. Appropriate Environmental management plans and Health and Safety ("H&S") procedures are in place for the Project. A Resettlement Action Plan ("RAP") has been prepared for the Project. The impact of the desalination plant on marine biodiversity and water pollution is currently being assessed. A Stakeholder Engagement Plan ("SEP") has been developed for the Project and has been disclosed on the Client's website.

An ESAP is being developed for the Project and will be agreed with the Client prior to EBRD Board consideration. A Non-Technical Summary ("NTS") will be developed and disclosed on the Bank's and Client's website in Arabic, French and English. The Bank will monitor the E&S performance and ESAP implementation progress through annual reports.

Technical Cooperation and Grant Financing

The Project structure is expected to include a TC package with funds to be sought from international donors or the SSF to achieve key objectives of the Project and ensure its effective implementation. The TC support package is expected to include the following assignments:

Support for the development of a digital and fully automated one-stop-shop;
Support for the development of a pilot Resilient Infrastructure System Plan with the aim to integrate climate adaptation and resilience considerations into planning and investment decisions;
Support for Project Implementation, Capacity Building as well as Lender's Monitor reporting directly to the Bank to ensure effective implementation of the Project.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
