Overview

A Framework of up to €6.0 billion under the EBRD Resilience Package, a strategic approach of the Bank as a response to the war on Ukraine.The ongoing Russia's invasion of Ukraine, since 24 February 2022, continues to inflict human, economic and geopolitical devastation. The Framework was designed to respond promptly and efficiently to existing and emerging challenges and urgent needs in Ukraine and preparing for its future reconstruction. It has been utilised for various types of financing instruments to private clients, sovereign, municipalities, municipal owned companies and other state-owned enterprises and financial intermediaries (including state-owned banks) in Ukraine. Initially the Framework covered Ukraine and nearby countries most affected by the inflow of Ukrainian refugees: Bulgaria, Croatia, Czech Republic, Estonia, Hungary, Latvia, Lithuania, Moldova, Poland, Romania, Slovenia and Slovakia (Affected Countries). Since July 2023 the Framework covers Ukraine only.

The Sub-projects will be financed out of the Bank's ordinary resource. Donor guarantees and grants will be provided in exceptional cases for specific priority projects to support important transition objectives, which would not otherwise proceed, serve as a credit enhancement instrument or facilitate access to financing for clients with limited financial absorption capacity.

Project Description

Project Objectives

The overall objective of the Framework is to continue providing a sustained level of investments to Ukraine, addressing critical needs with the ultimate goal of preserving livelihoods. For Ukraine, the Framework covers all sectors, with particular focus on energy security, vital infrastructure, food security, private sector resilience, and trade facilitation. For the Affected Countries, the Framework assisted in addressing refugee challenges, focusing on areas such as: (i) energy security; (ii) municipal and national infrastructure; and (iii) liquidity through the capital markets and financial intermediaries.

Transition Impact

The Framework is expected to support Ukraine through two primary transition qualities:

1) Resilient: by providing financing and other much-needed support to help clients weather the shock resulting from the war on Ukraine and with the key aim of mitigating negative impacts on energy and food security, or keeping economic activities going to the extent possible;

2) Inclusive: by preserving the livelihoods and strengthening the human capital and adaptability of people and businesses directly or indirectly affected by the war. There is an urgent need to alleviate the social and economic pressures derived from the influx of Internally Displaced Persons (IDPs) in Ukraine.

Some Sub-projects under the Framework and particularly capital expenditure-focused transactions might as well be supporting other transition qualities, such as Green. Well-Governed and Competitive, and this will be recognised in the suitable context of each transaction.

Client Information

Private clients (including individuals under FI projects), sovereign, municipalities, municipal owned companies and other State owned enterprises and financial intermediaries (including state owned banks) in Ukraine, as well as Ukrainian companies and/or their subsidiaries/affiliates/holding companies in the EBRD Countries of Operations in Industry, Commerce and Agribusiness sectors and to the extent the relevant Sub-projects have an appropriate Transition Impact nexus to Ukraine consistent with the Framework.

The clients and beneficiaries will include existing and new clients.

Additionality

As a result of the war on Ukraine, the market for liquidity and long-term financing in Ukraine is constrained , with both local and international financial institutions tightening their risk appetite. The EBRD financing is provided in the extraordinary circumstances of the war and effectively bridges a liquidity gap as well as provides more financial security caused by unprecedented adverse market conditions and heightened uncertainties.

Technical Cooperation and Grant Financing

Technical assistance will be an important component of the support package, complementing investments. Technical cooperation will be designed on a project-by-project basis to meet specific needs of the borrowers, sectors and people.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Access to Information Policy (AIP)

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
